Any corporation can be filed in ANY state and then it becomes a "foreign" corporation in all other states. If a corporation wants to do business in another state they have to file in each state as a foreign corporation. The reason that Delaware is chosen by most all other big corporations is because Delaware protects its officers, board members and stock holders infinitely better than all other states, and it has the lowest corporate fees. That is why Standard Oil Company of California and Litton Industries of Beverly Hills are Delaware corporations.
