After 5 years as a practicing attorney in estate planning, I attended UW's taxation program. After completing the program, I returned to private practice and have used this text more than any other since I've been back. Professor Drake's practical planning scenarios have helped me develop and implement a variety of business and estate plans for our clients. His experience and expertise provide an excellent spring board for analysis of a client's particular planning options. While there might be some typos and/or small grammatical errors, they in no way diminish the substance of this thorough and practical book. I sincerely believe that any business and/or estate planning professional should own this book as part of their fundamental resource base.

In the increasingly complex world of business, the potential pitfalls are many. As a result he converse is also true. In this book, Professor Drake covers all the potential stumbling blocks and opportunities that face today businesses as they grow, acquire, sell or merge. The proper way to utilize the tax code, structure a contract, compensate an executive and time a key deal are just some of the topics covered in this book. What I found most useful are the up to date and relevant case studies used to show how utilizing the strategies in the book really work out for a firm. In addition to the above, the book is surprisingly easy to read and digest. Even the more mundane topics become interesting. Professor Drake has created a real winner with this one. Nice work.
